Terms of Use

Loadirect is in its demo phase. This document will be reviewed and finalized before Loadirect handles real shipments or payments.

These terms are an agreement between you (and the company you act for) and LoadDirect Freight Technologies (“Loadirect”, “we”) for the use of the Loadirect website, back office, shipper portal, dispatch app and Owner-Operator / Driver app (the “Service”). By creating an account or using the Service you agree to them.

What Loadirect is

Loadirect is software that lets shippers and motor carriers find each other, agree on loads, track them and settle payment directly. Each load is a contract between the shipper and the carrier on the rate confirmation they sign. Loadirect is not a party to that contract and does not transport freight.

Accounts

• You must give accurate information about yourself and your company and keep it up to date. The person who creates a company account is its owner and is responsible for the people they invite.
• Keep your password private. You are responsible for activity under your account; tell us right away if you think it has been misused.

Carriers

• You must hold the operating authority, insurance and equipment a load requires, and keep them current. You must haul the loads you book with your own trucks and drivers: re-brokering, double brokering or assigning a load to another carrier is not allowed.
• You are responsible for safe and lawful operation, including hours of service, and for the freight in your care as the law provides.

Shippers

You must describe each load accurately (commodity, weight, dates, locations and special requirements) and pay the agreed rate and approved charges, through escrow or on the payment terms you chose when posting.

Dispatchers

You act only for the carriers that authorize you, within the fee terms they accepted, and only for their own trucks.

Fees and plans

Fees are shown in the Service before you agree to them: the flat platform fee per booked load, plan prices, and optional instant pay and factoring fees. Paid plans renew monthly until cancelled; cancelling keeps the plan until the end of the period already paid. We may change prices: a load already posted keeps the platform fee shown when it was posted, and a rise in your plan’s price applies from your first renewal at least 30 days after we announce it on your plan page. Fees are not refundable except where the law requires.

Payments and escrow

Payments, escrow, instant pay and factoring are provided with our payment and factoring partners and are subject to their terms. Card payments, escrowed funds and payouts are processed and held by Stripe, our payments partner, not by Loadirect; receiving payouts requires a Stripe account and acceptance of Stripe’s terms. Escrowed funds are released as the Service describes: on proof-of-delivery approval, after the automatic approval period, or as a dispute is resolved.

Acceptable use

Do not misuse the Service: no false loads or identities, fraud, harassment, scraping, attempts to break security, or use that breaks the law. We may suspend or close accounts that do.

Your content

You keep ownership of the information and documents you put in the Service. You let us use them to run the Service for you and the other parties to your loads.

Disclaimers and limits

• The Service is provided “as is”. We work to keep it accurate and available, but do not promise it will be uninterrupted or error-free, and information from third parties (such as FMCSA data, maps and rate guidance) may be wrong.
• To the extent the law allows, Loadirect is not liable for indirect or consequential losses, or for the acts of shippers, carriers or dispatchers, and our total liability is limited to the fees you paid us in the 12 months before the claim.

Ending the agreement

You can stop using the Service and close your account at any time. We may suspend or end access for a breach of these terms. Sections that by their nature should survive (fees owed, disclaimers and limits) do.

Changes

We may update these terms. We will post changes here, update the date above, and tell you in the Service for significant changes. Continuing to use the Service means you accept them.
